These Terms of Service ("Terms") govern your access to and use of prosperingdigital.com (the "Site") operated by Prospering Digital Web Design Agency ("Prospering Digital", "we", "us", "our"). By visiting the Site or engaging us for services you agree to these Terms. This is a starting draft, review with your legal counsel before publishing.

1. Use of the site

The Site is provided for informational purposes. You agree not to misuse the Site, attempt to disrupt it, scrape it at scale, reverse engineer it, or use it to violate any law.

2. Services and proposals

Specific engagements (design, development, SEO, care plans, retainers) are governed by the signed proposal or Statement of Work between you and Prospering Digital. Where these Terms conflict with a signed proposal, the proposal controls.

3. Quotes and pricing

Quotes are valid for 30 days unless otherwise stated. Project pricing is fixed once a proposal is signed and a deposit is received; out-of-scope work is billed separately at our published hourly rate or via a written change order.

4. Intellectual property

All content on the Site (copy, design, code, logos, imagery, and case studies) is © Prospering Digital unless otherwise noted, and may not be copied, redistributed, or used to train AI models without written permission. Final deliverables produced for a client transfer to that client per the terms in their signed proposal, typically upon full payment.

5. Third-party services

Our work often relies on third-party platforms (e.g. WordPress, Shopify, hosting providers, analytics, email senders). We are not responsible for outages, breaking changes, or pricing changes by those providers.

6. Warranties & disclaimer

The Site and its content are provided "as is" and "as available" without warranty of any kind, express or implied. We do not warrant that the Site will be uninterrupted, error-free, or free of harmful components.

7. Limitation of liability

To the maximum extent permitted by law, Prospering Digital and its team will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, goodwill, or business opportunities arising from your use of the Site or our services. Our total aggregate liability for any claim relating to the Site is limited to CAD $100.

8. Indemnity

You agree to indemnify and hold Prospering Digital harmless from any third-party claims arising from your misuse of the Site or breach of these Terms.

9. Governing law

These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein. Any dispute will be resolved in the courts of British Columbia.

10. Changes

We may revise these Terms from time to time. Continued use of the Site after changes means you accept the revised Terms.
